Sales and Purchase Agreement (Offer)
This document is a formal offer of Easy Creators B.V. (hereinafter referred to as “Seller”) to conclude a contract on the specified terms and conditions. In accordance with the provisions of Articles 6:217 BW, 6:218 BW, 6:219 BW, 6:221 BW of the Civil Code of the Kingdom of the Netherlands, this document constitutes an offer.
The contract is concluded by acceptance by the person who has responded to the offer (hereinafter referred to as the “Customer”). Full and unconditional acceptance of the offer is the Customer placing an order on the site in the manner prescribed by the Offer. The Offer may be withdrawn by the Seller at any time prior to its acceptance by the Customer.
This offer is addressed to individuals.
1. Terms and Definitions
1.1. Goods - any electronic information materials offered for sale on the Website, compiled by the Seller, which contain recommendations on conducting commercial activities on the YouTube video hosting service (including but not limited to checklists, guides, and other ready-made materials).
1.1.1. Within the scope of this OTP, the Goods are exclusively universal materials prepared once and offered for sale on the Website. Responses to questions in a consultation format are not provided under this OTP; however, they may be available through a separate consulting service agreement with the individual seeking consultation.
1.2 Website - the website https://easycreators.io, where the Goods are offered for sale.
2. Subject of the Contract
2.1 Under this agreement, and in accordance with its the terms and conditions, the Seller agrees to provide the Buyer with an electronic copy of the paid-for Goods, from among the informational materials compiled by the Seller and offered for sale on the Website.
2.1.1 Each electronic informational material offered for sale is a separate Good and an independent object of copyright. By gaining access to one Good, the Buyer does not gain access to other Goods available on the Website; such access must be purchased separately.
2.2 The Buyer agrees to pay for and accept the Goods ordered by them in accordance with this Agreement.
2.3 The Goods are an intellectual property, for which the Seller is the rights holder. By providing the Buyer with a copy of the informational material, the Seller does not alienate, grant a license, or transfer their intellectual property rights in any other way in whole or in part to the Buyer.
2.4 The Buyer is not entitled to copy the Goods, provide access to or transfer the Goods and their copies to third parties who are not immediate members of the Buyer’s family, publish the Goods or their copies in open or restricted access on the Internet, or otherwise make the Goods available to individuals who are not part of the Buyer’s immediate family circle.
3. Order Placement Procedure
3.1 Orders for the Goods are placed on the website https://easycreators.io by the Buyer by completing the relevant form.
3.2 Order placement is available to an unlimited number of Website users.
3.3 When placing an order, the user must provide the following information:
3.3.1 The order placement form may also require other Buyer information necessary for order processing.
3.4 The Buyer is responsible for the accuracy and truthfulness of the information provided when placing the order. If the Buyer provides inaccurate information, the Seller is not responsible for any adverse consequences, including but not limited to the inability to provide the Buyer with the purchased Goods. If incorrect contact information is provided and the Seller is unable to contact the Buyer within two days of placing the order, the order is considered canceled.
3.5 If the Buyer incorrectly specifies an email address when placing the order, the Buyer should send a message to the Seller's contact email address at info@easycreators.io to receive the login and password for the correct email address.
4. Payment for Goods
4.1 The Buyer shall pay for the order in full at the time of order placement, by making a cashless payment through the form provided on the Website, which completes the order placement procedure. The price of the Goods shall include the amount of value added tax in the country of the Buyer's tax residence, if any, within the European Union.
4.2 By placing an order, the Buyer pays the full cost of the Goods. Any subsequent additional payments from the Buyer will not be required.
4.3 The Seller is not the owner of the payment system integrated into the Website and, therefore, is not responsible for its malfunction, except in cases where the malfunction was caused by incorrect integration of the system into the Website by the Seller.
5. Delivery of Goods
5.1 Within 24 hours after the Buyer places the order and makes the payment, the Seller shall send the Buyer a file containing the paid informational material in .pdf format to the email address provided during the order placement.
5.2 If the Seller has duly fulfilled the obligation to send the Buyer the file containing the paid informational material, and the Buyer does not send a message to the Seller within 10 (ten) days from the date the file was sent, indicating an inability to access the informational material, the Goods are considered to be duly delivered.
6. Warranty and Liability
6.1 The Seller guarantees that they exercise proper control over the functioning of the Website and have taken measures to prevent the possibility of malicious software affecting the Buyer's equipment as a result of accessing the Goods.
6.2 The Seller does not guarantee that their opinions and experiences described in the informational materials will align with the Buyer's opinions, nor that their advice will necessarily lead the Buyer to success in working on the YouTube video hosting service. The Seller is not responsible for the Buyer's subsequent failure to apply the recommendations contained in the Goods, nor for the Buyer's dissatisfaction if they do apply such recommendations.
6.3 The Buyer is responsible for the accuracy of the information provided when placing the Order.
6.4 In the event of a violation of clause 2.4 of this Agreement, the Buyer agrees to pay the Seller a penalty of 15,000 (fifteen thousand) euros.
7. Circumstances Beyond the Control of the Parties (Force Majeure)
7.1 The Parties are released from liability for non-performance or improper performance of their obligations in the event of circumstances beyond their control, which could not have been foreseen and prevented by reasonable means, making the fulfillment of the Agreement impossible and occurring after its conclusion. Such circumstances include, for example: various natural disasters that are not seasonal phenomena for the given area; economic and sanitary circumstances, blockades, military actions directly affecting the Parties; the adoption of legislative acts by government authorities and local governments, as well as international organizations.
8. Final Provisions
8.1 All notifications, messages, and correspondence between the Parties must be sent using email addresses. On the Seller's side, from the address specified in this OTP. On the Buyer's side, from the address provided when accepting the OTP.
8.2 All disputes, disagreements, or claims between the Parties arising from or in connection with this Agreement, including those concerning its execution, breach, termination, or invalidity, shall be resolved with mandatory compliance with the claims procedure.
8.3 A claim sent electronically has legal force if the email address used for sending it is the one provided by the Buyer when placing the order and the Seller's address specified in this OTP.
8.4 The law of the Kingdom of the Netherlands shall apply to this Treaty.
8.5 Recognition by a court of any provision of this OTP as invalid does not entail the invalidity of the remaining provisions.
8.6 This OTP is drawn up considering that the Buyer purchases Goods for personal use.

- Telegram user ID or phone number that identifies the contact in Telegram;
- A valid email address;
- The address of permanent residence in the country that is his tax residence or place of preference.

3.4 The Buyer is responsible for the accuracy and truthfulness of the information provided when placing the order. If the Buyer provides inaccurate information, the Seller is not responsible for any adverse consequences, including but not limited to the inability to provide the Buyer with the purchased Goods. If incorrect contact information is provided and the Seller is unable to contact the Buyer within two days of placing the order, the order is considered canceled.

4. Payment for Goods
